1. Acceptance of Terms

– By accessing or using our software development services, you agree to abide by these terms and conditions


2. Scope of Service

Description: Our software development services involve the creation and delivery of customised software solutions as agreed upon between Devtonz (the “Developer”) and Client Entity (the “Client”)

Project Scope: The specific features, functionalities, and deliverables will be outlined in the project scope document agreed upon by both Parties.


3. Intellectual Property Rights

– The Developer acknowledges and agrees that all intellectual property rights, including but not limited to copyrights, patents, trademarks, trade secrets, and any other proprietary rights related to the software developed as part of the project, shall belong exclusively to the Client.

– The Developer agrees to assign and transfer all rights, title, and interest in the software to the Client upon receipt of full payment for the services rendered.

– The Client shall have the right to use, modify, reproduce, distribute, display, and sublicense the software, as well as create derivate works based on it, without any further consent or compensation to the Developer.


4. Payment Terms

– Compensation: The Client agreed to pay the Developer the agreed-upon fee for the services rendered.

– Payment Schedule: The payment schedule shall be as outlined in the agreement or as agreed upon by both Parties.

– Late Payments: In the event of Late payments, the Developer reserves the right to pause work or charge late fees as specified in the agreement.


5. Confidentiality

– Confidential Information: Both Parties agree to treat any proprietary or sensitive information obtained during the course of the project as confidential

– Non Disclosure: The Parties agree to execute a seperate non-disclosure agreement, if required. to protect confidential information.


6. Limitation of Liability

– Exclusion: The Developer shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to this Agreement or the Project.


7. Governing Law and Jurisdiction

– Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom.

– Jurisdiction: Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of United Kingdom.
